1. Definitions and Interpretation

1.1 Definitions

The following terms, when used in this Agreement (including these General Terms and Conditions), shall have the meanings set out below unless otherwise stated:

  • “Agreement”: Refers to the Lemonboxes Merchant Registration Form, these General Terms and Conditions, any associated schedules, appendices, and all amendments or variations thereto.
  • “Applicable Law”: Any law, regulation, statute, order, judgment, or guideline issued by a competent UK authority, whether existing or enacted in the future.
  • “Business Day”: Any day other than a Saturday, Sunday, or public holiday in England and Wales.
  • “Contributions”: As defined in Clause 6.
  • “Customer Account”: A Customer’s registered account(s) on the Lemonboxes Platform.
  • “Driver”: The delivery party responsible for transporting Products ordered via the Lemonboxes Platform.
  • “Effective Date”: The date on which Lemonboxes approves the Merchant Registration Form submitted by the Merchant.
  • “Merchant Outlet”: A restaurant or business location owned and managed by the Merchant for the purpose of enabling Lemonboxes Services, as agreed upon and amended by both Parties.
  • “Merchant Particulars”: The Merchant’s business details as outlined in the Agreement.
  • “Merchant SOP”: Standard Operating Procedures for the use of Lemonboxes Services, subject to updates by Lemonboxes at its sole discretion.
  • “Merchant Wallet”: A digital wallet or fund account managed by Lemonboxes on behalf of the Merchant to process Transaction Funds.
  • “Net Sales”: The total price of Products in a Transaction, excluding VAT or other applicable taxes, Merchant discounts, surcharges, service fees, or other fees as recorded by Lemonboxes.
  • “Order”: A Customer’s Product order placed via the Lemonboxes Platform.
  • “Parties”: Lemonboxes and the Merchant collectively; “Party” refers to either one individually.
  • “Products”: Food and/or beverages sold by the Merchant through the Lemonboxes Platform.
  • “Service Fee”: As defined in Clause 7.1.
  • “Lemonboxes Platform”: The e-commerce platform operated by Lemonboxes, including its website (www.Lemonboxes.co.uk) and mobile applications.
  • “Lemonboxes Services”: Food ordering and delivery services provided via the Lemonboxes Platform, enabling Merchants to sell Products and Customers to place Orders, with deliveries carried out by Drivers or any other method determined by Lemonboxes.
  • “Transaction”: The Customer’s order placement and payment for Products via the Lemonboxes Platform.
  • “Transaction Funds”: The total amount paid by a Customer for a Transaction via the Lemonboxes Services.

1.2 Interpretation

In this Agreement:
a) References to legislation or regulations include any amendments, re-enactments, or subordinate legislation made under it.
b) References to “written” or “in writing” include electronic communications.
c) “Including” means “including but not limited to.”
d) References to “Clause” or “Schedule” refer to sections within this Agreement.
e) Words denoting the singular include the plural, and vice versa. References to gender include all genders.

1.3 Headings

Headings are included for convenience only and do not affect the interpretation of this Agreement.


2. Scope

This Agreement, including these General Terms and Conditions, governs the provision of Lemonboxes Services to the Merchant. Lemonboxes reserves the right to amend the scope of Services from time to time.


3. Term

This Agreement shall remain in effect for one (1) year from the Effective Date and will automatically renew for subsequent one-year terms unless either Party provides thirty (30) days' written notice before the end of the current term.


4. Description of Lemonboxes Services

4.1 Lemonboxes provides the following services to the Merchant:
a) Referring Customers to the Merchant.
b) Acting as an intermediary to accept Orders and payments on behalf of the Merchant.
c) Communicating Orders to the Merchant and disbursing payments from Customers to the Merchant.

4.2 Lemonboxes may modify, suspend, or discontinue its Services at its sole discretion without prior notice.

4.3 Merchant must supply all information required to display Products on the Lemonboxes Platform, including menus, pricing, operating hours, and location details (“Necessary Information”). Any changes must be communicated to Lemonboxes at least seven (7) Business Days in advance.

4.4 The Merchant must verify the accuracy of its information on the Lemonboxes Platform and report errors to Lemonboxes within one (1) hour of discovery.

4.5 Lemonboxes acts solely as an intermediary and does not supply or deliver Products. Contracts for Product sales are directly between the Merchant and the Customer.

4.6 The Merchant is responsible for handling refunds, disputes, or claims, including chargebacks, relating to Transactions. Lemonboxes may, at its sole discretion, issue refunds to Customers without prior approval from the Merchant.

4.7 Lemonboxes may suspend specific Transactions, Customer Accounts, Merchant Wallets, or Services under circumstances such as suspected fraud, breaches of Applicable Law, or Merchant non-compliance with Lemonboxes policies.

4.8 If Lemonboxes provides the Merchant with devices such as payment terminals, the Merchant must return such devices in good condition upon termination of the Agreement.
